1. Acceptance of Terms
By accessing or using the Corex AI Systems website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
Corex AI Systems provides AI automation, custom AI development, process optimization, and data intelligence services as described on our website. The specific scope, deliverables, timeline, and pricing for each engagement will be outlined in a separate service agreement or proposal.
3. Client Responsibilities
You agree to provide accurate and complete information necessary for us to deliver our services, respond to communications and requests for feedback in a timely manner, ensure that any materials or data you provide to us do not infringe on any third-party rights, and comply with all applicable laws and regulations in connection with your use of our services.
4. Payment Terms
All services require a one-time setup fee and a recurring monthly maintenance fee as outlined in your service agreement. Setup fees are due before work begins. Monthly fees are billed on a recurring basis. Late payments may result in suspension of services. All fees are non-refundable unless otherwise specified in your service agreement.
5. Intellectual Property
Upon full payment, you will own the custom systems, workflows, and deliverables we create specifically for your business. Corex AI Systems retains ownership of its proprietary tools, frameworks, templates, and methodologies used in the delivery of services. We may use general knowledge and techniques gained during our engagement for other clients.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of any service agreement.
7. Limitation of Liability
To the maximum extent permitted by law, Corex AI Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services. Our total liability for any claim shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
8. Termination
Either party may terminate a service engagement with 30 days written notice. Upon termination, you will be responsible for payment of all services rendered up to the termination date. We will provide reasonable assistance in transitioning your systems.
9. Disclaimer of Warranties
Our services are provided "as is" and "as available." While we strive for excellence and stand behind our work, we do not guarantee specific business outcomes, revenue increases, or performance metrics unless explicitly stated in a signed service agreement.
10. Indemnification
You agree to indemnify and hold harmless Corex AI Systems, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
12. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Updated terms will be posted on this page. Your continued use of our services after changes are posted constitutes acceptance of the revised terms.
